Terms & Conditions of Web SEO

1 Definitions
 
"Web SEO" means the UK registered company Croftpath Limited (VAT No. 890162228 Reg. No. 05897828) trading as Web SEO and is referred to hereinafter as the "Company";
 
"Services" means the provision of any IP (provided under licence), services, goods, material, information, file,downloads or data provided by the Company to the Client for which the Company charge a fee or provide a user licence to the Client;
 
"IP" means any intellectual property owned by the Company marked by the Company copyright notice, including but not limited to goods, training courses, training materials, information, software, websites and data;
 
"Freebies" means any goods, information, material or data provided by the Company to the Client free of charge that is not marked by the Company copyright notice;
 
"Client" means you, a person or company who accepts Services from the Company;
 
"Enquiry" means any contact made to the Company by the Client;
 
"Quotation" means the emailed quotation to the Client setting out the price and scope of the Services;
 
"Order" means the Client has accepted the Quotation and purchased the Services;
 
"Terms" means these standard Terms & Conditions set out here and includes any other terms agreed in writing between the Company and any other party involved in provision of the Services or related activities;
 
These Terms govern the sale of Services from the Company to the Client and constitute the entire and only agreement between the Company and the Client in relation to the sale of Services and on placement of an Order form a legally binding contract between the Company and Client.
 
2 Changes, Cancellation and Payment
 
The Company may change, cancel or cease to provide Services or Freebies at any time due to unforeseen circumstances.
 
The minimum class size to run a training course is 5 people and the Company reserves the right to cancel a course and offer an alternative date or full refund at any time if a course cannot be held. The Company under these circumstances will endeavour to provide the Client with 24 hours notice of the cancellation.
 
The Client must provide 48 hours notice to the Company to cancel Services to qualify for a full refund of the Order or part refund, as determined by the Company.
 
The Company must receive full payment from the Client for Services at least 48 hours prior to the provision of Services.
 
3 Confidentiality & Copyright
 
Please do not copy or abuse our IP. If you wish to use, copy, modify or duplicate our training courses or IP material, please apply to the Company for a resellers or training licence using our contact form and we will be pleased to call you to discuss terms.
 
The Company provide valuable courses, software, information and materials to the Client during the provision of Services or during an Enquiry in the form of IP (Intellectual Property) and confidential information. The Client therefore warrants that the Client shall not copy, modify, transfer or otherwise breach the IP copyright of the Company or disclose confidential information to any other party during the use or handling of such IP, courses, confidential information or materials.
 
The IP of the Company remains the property of the Company at all times, including before and after sales and when the IP is used under licence. The Company IP copyright is not and cannot be reassigned under any circumstances. The Client does not acquire any rights to the IP at any time. The Company may from time to time grant an IP licence to the Client in writing by separate agreement at the sole discretion of the Company. The Company reserves all IP rights.
 
4 Loss or Damage Claims & Responsibility
 
The Company takes reasonable care and measures to provide quality Services, but the Company is exposed to unforeseen circumstances. The Company will therefore be held harmless against any loss or damage to the Client caused any event or circumstance beyond the reasonable control of the Company including mistake, accident, employee sickness or absence, cancellation or any other unforeseen circumstances.
 
The Company makes no claims or assurances and offers no warranty (express or implied) for Services or Freebies provided. Freebies are provided free of charge and intended for rough guidance only.
 
The Company provide a "14 day Google index guarantee" for certain Services (Instant Website product only) if we fail to reach the Google index with at least one link within 14 days after the launch ("go-live date") of the Instant Website described within the Order. A claim under the "14 day Google index guarantee" can only be made by the Client after 14 days of the "go-live date". Claims under the "14 day Google index guarantee" must be made by email to the Company within 28 days after the "go-live date". The total amount refundable under the "14 day Google index guarantee" is the price of the Instant Website described within the Order which did not reach the Google index within 14 days of the "go-live date". Refunds for transerable domain names cannot be made and are excluded from the "14 day Google index guarantee". The Company will verify a claim under the "14 day Google index guarantee" by checking the Google index. The Company may reject a claim under the "14 day Google index guarantee" if within 14 days of "go-live date" the Company has evidence that the Order has been fulfilled, e.g. a screen shot of the Google index, showing the link to the Instant Website described within the Order.
 
The Company provide a "full refund guarantee" for certain Services goods (DVD discs) lost or damaged, "damaged" is limited to individual DVD discs corrupted or unreadable using a compatible DVD reader, and "lost" is limited to DVD discs not signed for by the Client and confirmed lost by the Company courier. A claim under the "full refund guarantee" can only be made by the Client after 28 days of the Order. This full refund guarantee expires after 56 days from the date of the Order.
 
To make a claim under the "full refund guarantee" the Client must tell the Company by email that the goods are undelivered after 28 days of the Order and before 56 days of the Order or the Client must return damaged DVD discs to the Company within 56 days of the Order. If lost, the Company verify the Client DVD package has not been signed for and is in fact lost by the Company courier or on receipt of the Client's damaged goods at the Company address, the Company will refund the Client's original payment for the Client's lost or damaged goods in full, plus postage at the Company's current standard (variable) outbound postage cost, using the Company PayPal account.
 
The Company reserve the right to reject a claim under any guarantee if, in the case of postal Orders, the Company choose to wait until the goods are delivered if after 28 days of the Order the Company courier confirms the goods are merely delayed in transit, if the Company reasonable suspect the lost or damaged goods were not caused by the Company or the Company courier, or in the case of all Orders, the Company or the Company courier reasonably suspect theft or foul play, or the Company can provide evidence that the Order has been fulfilled. On a valid claim the Company may offer the refund alternative of fulfilling the Services, replacing or resending the lost or damaged goods, free of charge, at the choice of the Client.
 
5 Force Majeure
 
The Company shall have no liability to the Client for any failure, delay in supply, delivery of Services or for any damage or defect with Services, Freebies or goods supplied or delivered hereunder that is caused by any event or circumstances beyond the reasonable control of the Company (including without limitation strikes, lockouts, acts of God, terrorism, criminality, riot and the like.)
 
6 General
 
These Terms and the price of Services are subject to change without notice. All Services are subject to availability.
 
If any part of these conditions is invalid, illegal or unenforceable (including any provision in which the Company excludes its liability to the Client) the validity, legality or enforceability of any other part of these Terms will not be affected. This contract shall be governed by and interpreted in accordance with English law.
